1. Introduction
Welcome to https://www.teaguetheatrical.com, a website (“Site”) owned and maintained by Teague Theatrical Group, LLC (“TTG”). Following are the rules, or terms and conditions (“Terms”) that govern your access to and use of the Site and any TTG website that links to these Terms. By accessing or using any part of the Site, you accept and agree, without limitation or qualification, to be bound by these Terms and to follow these Terms and all applicable laws and regulations governing the Site.

Information posted on the Site, including without limitation, the availability of any content, feature, database, or service is subject to change without notice. TTG may also impose limits or restrict your access to parts or all of the Site or services without notice or liability. In addition, these Terms may be changed without notice. TTG will make such changes by posting and dating them on the Site (the “Last Updated” line above), and it is your responsibility to check the Site periodically for such changes. Your continued access and use of the Site after such changes conclusively demonstrates your acceptance of those changes, which will apply to your continued use of the Site going forward. Your use of the Site is subject to the Terms in effect at the time of such use.

These Terms contain an arbitration agreement and class action waiver. Please read them carefully, since they affect your legal rights. If you violate these Terms, TTG may terminate your access to the Site, bar you from future use of the Site or take appropriate legal action against you. If you do not agree with all of the Terms set forth herein, you may not use any portion of the Site.

 

2. Authorized Use

The Site is provided for your personal and non-commercial use and for informational purposes only. You agree that you are only authorized to visit, view and to retain a copy of pages of the Site for your own personal use, and that you shall not duplicate, download, publish, modify or otherwise distribute the material on the Site for any purpose other than to review the information therein, for personal use. Any other use of the Site not provided herein requires the prior written consent of TTG.

 

If you use the Site on behalf of another person or entity, (a) all references to "you" throughout these Terms will include that person or entity, (b) you represent you are authorized to accept these Terms on that person's or entity's behalf, and (c) in the event you or the person or entity violates these Terms, both you and the other person or entity agree to be jointly and severally responsible and liable for any such violation.

 

3. Eligibility

The Site is restricted to those individuals that are at least the age of majority in their state of residence and are fully able and competent to enter into these Terms. If you are not the age of majority, you may use the Site only if your legal parent or guardian has reviewed and accepted these Terms on your behalf and consented to your use, thereby agreeing to be fully responsible for the acts or omissions of such use in relation to these Terms. By accessing or using the Site, you represent and warrant that you have sufficient legal capacity to enter into these Terms or, if you lack such capacity, that you have obtained parental or guardian consent to do so. You may not access or use the Site for any purpose if you: (i) do not meet the foregoing requirements; or (ii) are barred from accessing or using the Site under the laws of the jurisdiction in which you are a resident or from which you access the Site.

 

4. Unauthorized Use

You are solely responsible for all of your conduct and activity in connection with the Site, and as a condition of use, you promise not to use the Site for any purpose that is prohibited by these Terms. When accessing and using the Site, you shall not (and shall not permit any third party to) either (i) take any action or (ii) upload, download, post, submit, transmit, input, or otherwise distribute or facilitate distribution of any content and/or information inputted by you or on your behalf into the Site that:

 

  • infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity or violates any law or contractual duty;

  • you know is false, misleading, untruthful or inaccurate;

  • is offensive, unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, contains or depicts nudity, contains or depicts sexual activity, or is otherwise inappropriate as determined by TTG in its sole discretion;

  • interferes with or disrupts the Site or any other user’s use of the Site, including, without limitation, via means of unauthorized or unsolicited advertising, overloading, flooding, mailbombing, junk or bulk “spam” email;

  • contains software viruses or any other computer codes, files, or programs that are designed or intended to crash, disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, content, password or other information of TTG’s or of any third party;

  • may damage TTG’s, or any other person or entity’s, computing devices or software or in any way impair the functionality of the Site, or other systems used to deliver the Site or impair the ability of any other user to access and use the Site;

  • contains robots, spiders, data mining techniques or other automated devices or programs to catalog, download or otherwise reproduce, store or distribute content available on the Site;

  • constitutes an attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver the Site or to operate the Site except as is strictly necessary to use either of them for normal operation;

  • constitutes an attempt to undermine the security or integrity of TTG’s computing systems or networks or, where the Site is hosted by a third party, that third party’s computing systems and networks;

  • constitutes an attempt to circumvent security or user authentication measures or gain unauthorized access to any materials other than those to which you have been given expressed permission to access or to the computer system on which the Site is hosted;

  • impersonates any person or entity, including any of TTG employees or representatives;

  • includes anyone’s identification documents or sensitive financial information;

  • constitutes, encourages or provides instructions for a criminal offense.

 

You may not frame portions of the Site within another Site. You may not resell use of, or access to, the Site to any third party without the prior written consent of TTG. Although TTG cannot monitor you off the Site, it is also a violation of these Terms to use any information obtained from the Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit or sell to any other user without their prior explicit consent.

 

5. Proprietary Rights

TTG is the owner of or otherwise licensed to use all parts of the Site, including all copy, software, graphics, designs and all copyrights, trademarks, service marks, trade names, logos, and other intellectual property or proprietary rights contained therein. Some materials on the Site belong to third parties who have authorized TTG to display the materials, such as certain third-party licensors. By using the Site, you agree not to copy, distribute, modify or make derivative works of any materials without the prior written consent of the owner of such materials. Except as expressly set forth in these Terms, no license is granted to you and no rights are conveyed by virtue of accessing or using the Site. All rights not granted under these Terms are reserved by TTG.

 

6. No Ideas Accepted

TTG does not accept any unsolicited ideas to the Site from outside the company including without limitation suggestions about advertising or promotions, or merchandising of any products, additions to our services, or changes in methods of doing business. TTG may already be working on or may in the future work on a similar idea. This policy eliminates concerns about ownership of such ideas. If, notwithstanding this policy, you submit an unsolicited idea to the Site, you understand and acknowledge that such idea is not submitted in confidence and TTG assumes no obligation, expressed or implied, by considering it. You further understand that TTG shall exclusively own all known or hereafter existing rights to the idea everywhere in the world, and that such idea is hereby irrevocably assigned to TTG. Without limiting the foregoing, to the extent any such assignment is deemed unenforceable, and or to the extent necessary for TTG to utilize your submission, you hereby grant TTG an irrevocable, perpetual, world-wide license to use the idea and any associated intellectual property in any manner, in any medium now known or hereafter developed, without compensation to you. If you do not wish to assign the rights assigned in this section, please do not submit an unsolicited idea to the Site.

 

7. Submissions

TTG does not accept unsolicited submissions nor does it wish to receive any confidential, secret or proprietary information or material from you through the Site. Any information, creative works, ideas, concepts, methods, systems, services, designs, plans, techniques or other materials submitted or sent to TTG will be deemed not to be confidential or secret. By submitting or sending submissions to TTG, you represent and warrant that the information is original to you, that no other party has any rights to the material, and you grant TTG a fully paid-up and royalty-free, unrestricted, worldwide, perpetual, fully transferable, non-exclusive license to use, copy, sublicense, modify, adapt, transmit, perform or display such information or material in any format or media now known or hereafter developed without additional consideration to you or any third party.  If you do not wish to grant the rights granted in this section, please do not post any submissions through the Site.

 

8. Subscriptions

The Site includes features that allow you to subscribe to receive updates, consisting of occasional electronic communication containing news, resources, insights and more from TTG. If you decide to activate or request and receive access to a subscription service, you authorize TTG to communicate with you periodically, on a going-forward basis. You may need to register for an account to access some TTG subscription services. If you register for an account, you must provide accurate account information and promptly update this information if it changes. You also must maintain the security of your account and must notify TTG immediately of any breach of security or unauthorized use of your account, or of any change in your eligibility to use the subscription services. You may not share your login credentials with anyone, and you should never publish, distribute or post login information for your account. You may also never use another person’s user account or registration information for TTG subscription services without permission.

 

A subscription service will continue unless and until you either cancel or modify it, or TTG terminates it. TTG also includes an “unsubscribe” link at the bottom of every subscription email TTG sends. If you have trouble unsubscribing on your own, you may send an email to info@teaguetheatrical.com requesting to unsubscribe from future emails.

 

9. No Offers

Nothing on this Site constitutes an offer to sell, or a solicitation of an offer to purchase securities. This includes but is not limited to contact service features, which allow you to request and/or receive occasional electronic communications from TTG initiated through “contact”, “subscribe”, “request access”, “notify me” or similar “submit” features. Any future offer of securities from TTG, its subsidiaries or affiliates, will not be made to the general public.

 

10. Third-Party References and Links

This Site may contain references and links to other third-party websites, services, resources or applications that are not owned or maintained by TTG. Other third-party websites and applications not owned or maintained by TTG may also reference or contain links to the Site. The inclusion of a reference or link to another website or application on the Site is for convenience and information only and does not imply any endorsement of the sources themselves or of those in control of them. TTG is not responsible for the privacy practices of any third-party and encourages you to be aware when you leave the Site and to read the terms and conditions and privacy statements of each and every website that you visit, and any third-party application before enabling their use in conjunction with the Site or services offered through the Site. If you choose to enable third-party applications for use in conjunction with the Site or services offered through the Site, you do so at your own risk. You acknowledge that TTG may allow the providers of those third-party applications to access information or content unique to you as required for the interoperation of such third-party applications with the Site or services offered through the Site. You further acknowledge and agree that TTG shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party application, or for any disclosure, modification or deletion of your user account or user content by any third-party applications. You agree that in no event will TTG be liable to you in connection with any websites, content, materials, or practices of any third-party.

 

11. Social Media

TTG may provide links and/or encourage online interactions on social media platforms. If you choose to visit such platforms, please note the content you post, transmit or make available, such as pictures, comments, information, opinions, or any personal information you make available to other participants on these social platforms, may be viewed by the public and are subject to the terms and conditions and privacy policies of those platforms. TTG is not responsible for any third-party use of any information you post, transmit or make available on such platforms. Please refer to those social media platforms to better understand your rights and obligations with regard to such content.

 

12. Privacy Policy

When you access the Site, you provide TTG with different types of information. Please read the TTG Privacy Policy, available at https://www.teaguetheatrical.com/legal which explains how TTG collects, uses and shares information through the Site, as well as your choices regarding these activities. The Privacy Policy applies to your access and use of the Site, and it is incorporated and made a part of these Terms by this reference.

 

13. Disclaimers and Limitation of Liability

The Site, all services and content on the Site, and any services or goods made available through the Site are provided to you on an “as is”, “with all faults” and “as available” basis without warranty of any kind either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.  TTG makes no warranty as to the quality, accuracy, completeness or reliability of the Site, its security or any services or content available through the Site.  You are responsible for verifying any information before relying on it.  Use of the Site and the services and content available on the Site is at your sole risk.

 

TTG makes no representations or warranties that use of the Site will be secure, uninterrupted or error-free or that defects will be corrected.  You are responsible for taking all necessary precautions to ensure that any content you may obtain from the Site is free of viruses or other harmful code.  Your sole and exclusive remedy for dissatisfaction with the Site is to stop using the Site.

 

To the maximum extent permitted by law, TTG disclaims all liability, whether based in contract, tort (including negligence), strict liability or otherwise, and further disclaims all losses, including without limitation indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or in any way connected with access to or use of or the inability to use the Site, the content, or the services or goods made available through the Site, even if TTG has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

 

14. Indemnification

You agree to defend, indemnify, and hold harmless TTG, its subsidiaries and affiliates, and each of their respective directors, employees, officers, agents, partners, suppliers, contractors, representatives or content providers. from all liabilities, claims, demands, cost or expenses, including reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Site, including your violation of these Terms, infringement by you or any third party using your account or identity in the services of any intellectual property or other right of any person or entity, and your breach of any of these Terms or any obligation you may have to TTG. We reserve the right to assume the exclusive defense control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

 

15. Severability

If any part of these Terms shall be held or declared to be unlawful, invalid or unenforceable for any reason by any court of competent jurisdiction, that provision or part of the provision shall be ineffective and deemed severable from these Terms but shall not affect the validity and enforceability of any remaining provisions. In such event, the ineffective provision or part of the provision may be changed and interpreted so as to best accomplish the objectives of such unlawful, invalid or unenforceable provision within the limits of applicable law or applicable court decisions.

 

16. Waivers and Remedies

The failure or delay of TTG to partially or fully exercise any rights, or the waiver of TTG of any breach of these Terms by you, shall not prevent a subsequent exercise of such right by TTG or be deemed a waiver by TTG of any subsequent breach by you of the same or any other term of these Terms. The rights and remedies of TTG under these Terms and any other applicable agreement between you and TTG shall be cumulative, and the exercise of any such right or remedy shall not limit TTG’s right to exercise any other right or remedy.

 

17. Copyright Infringement Take-Down Request Procedure

TTG respects intellectual property right laws and TTG expect all visitors or users of the Site to respect TTG’s rights under the applicable law. A copyright owner can, under the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c), submit a notice to TTG.  To submit such a copyright infringement notification with TTG, you will need to send us a written communication. We request the initial contact be emailed to us at info@teagutheatrical.com. If you would like to mail TTG a hard copy, please ask for the TTG mailing address in the email. TTG expects that the following information is included in your notice: 1) a clear identification of the infringed material that is protected, and information reasonably sufficient to permit TTG to locate the material; 2) if possible, TTG expects you to provide the URLs in the body of your notification email; 3) contact information of the complaining party, such as an address, telephone number, and email address at which TTG may establish contact with such individual, or the individual's agents; and 4) a signed letter authorizing an agent to act on behalf of the owner of the allegedly infringed right.

 

18. Dispute Resolution and Class Action Waiver

You hereby consent to arbitration if any dispute is to arise, except for the enforcement of TTG’s or its subsidiaries or affiliates’ intellectual property.  These Terms shall be governed by, and will be construed under, the laws of the State of New York without regard to choice of law principles.  Any dispute related to these Terms or the Site must be resolved exclusively through binding non-appearance-based arbitration administered by JAMS, an alternative dispute resolution provider.  In the event of a dispute, you or TTG must send to the other party a notice of dispute in writing, setting forth the name, address and contact information of the party giving notice, the facts of the dispute and the relief requested. You may initiate a dispute by sending us a notice to info@teagutheatrical.com. If you would like to mail TTG a hard copy, please ask for the TTG mailing address in the email. We will send a notice to you at the contact information we have for you.  You and TTG agree to try to resolve a dispute through informal negotiation upon notice of a dispute for a period of 60 days.  If you and TTG are unable to resolve the dispute in such 60 days, then you or TTG may commence arbitration. You and TTG agree that a dispute will be heard before a single neutral arbitrator, whose decision will be final, binding and non-appealable (except for a limited right of appeal under the U.S. Federal Arbitration Act), and judgment upon the award rendered by the arbitrator may be entered in the highest court of the forum, state or federal, having jurisdiction thereof. You are giving up the right to litigate a dispute in a court of law before a judge or jury.  The arbitration proceedings shall be governed by the JAMS Comprehensive Arbitration Rules and Procedures and Expedited Procedures or JAMS Streamlined Arbitration Rules and Procedures, at the election of the party initiating the arbitration.   Information regarding these rules can be found on the JAMS website at jamsadr.com.  In addition, you and TTG agree that the following rules shall apply to the arbitration proceedings: (a) the arbitration shall be conducted, at the option of the party seeking relief, by telephone, online or based solely on written submissions; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; (c) the parties waive the right to seek punitive damages and equitable or injunctive relief and the arbitrator shall have no authority to award such damages or relief; (d) the arbitrator is instructed to award reasonable attorney’s fees and costs to the prevailing party; and (e) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sales of Goods shall have no applicability.

 

To the fullest extent permitted by law, you agree that no arbitration or claim arising out of the terms or your use of the Site shall be joined to any other arbitration or claim, and no class arbitration shall be permitted. By entering into this agreement, you are waiving the right to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind. Any claim and remedy sought as part of a class action, private attorney general or other representative action is subject to arbitration only on an individual (non-class, non-representative) basis, and the arbitrator may award relief only on an individual (non-class, non-representative) basis. In no event shall any claim, action or proceeding by you related in any way to the Site be instituted more than one (1) year after the cause of action arose.

 

If the foregoing arbitration clauses do not apply for any reason, you agree to submit to the personal jurisdiction of the federal and state courts located in New York County, New York for the purposes of litigating any applicable claim.

 

19. Termination

You agree that TTG may, in its sole discretion and without prior notice, suspend for any definite or indefinite period of time, your access and use of the Site, services, and all or any content, and/or block your future access and use of the same if we determine that you have violated these Terms. You further agree that TTG may preserve any transmittal or communication by you with TTG through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or TTG determines, in its sole discretion, that such preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce these Terms; (iii) respond to claims that any such data violates the rights of others; or (iv) protect the rights, property or personal safety of TTG, its employees, users of or visitors to the Site, and the public. You agree that TTG may report your conduct, activity, or identity to law enforcement or other appropriate authorities, take appropriate legal action against you, respond to subpoenas or other requests for information regarding your use of the Site, or otherwise take action to protect our rights and the rights of any third party. By accepting these terms, you waive any claims resulting, directly or indirectly, from any action taken by TTG during or as a result of such investigations.

 

Termination of this Agreement is without prejudice to any rights and obligations of the parties accrued up to and including the date of termination. On termination of this Agreement, you will: (a) remain obligated to refrain from any actions prohibited by the Terms that survive termination; and (b) immediately cease to use the Site and the services.

 

20. Miscellaneous

The section titles or “headings” in these Terms are for reference and convenience only and in no way define, limit, construe or describe the scope or extent of such section, and thus have no legal or contractual effect. TTG’s failure to act with respect to any failure by you or others to comply with the Terms does not waive TTG’s right to act with respect to subsequent or similar failures. The Terms set forth the entire understanding and agreement between you and TTG with respect to the use of the Site.  TTG reserves the right to assign or transfer TTG’s rights and obligations under these Terms. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of TTG, and any assignment or transfer in violation of this provision shall be null and void.

Teague Theatrical Group (“TTG”) respects your privacy and is committed to protecting it through this Privacy Policy (“Policy”).

 

This Policy, together with TTG’s Terms and Conditions (“Terms), of which this Policy is incorporated into, governs your access to and use of https://www.teaguetheatrical.com, including any content, functionality and services offered on or through https://www.teaguetheatrical.com (“Site”), whether as a visitor or a registered user.

 

When accessing the Site, TTG will learn certain information about you, both automatically and through voluntary actions you may take, during your visit. This Policy applies to information TTG collects on the Site and in email, text, or other electronic communication between you and the Site.

 

TTG may have to change this Policy to reflect new regulations, new technologies or changes to how TTG collects, uses or discloses your personal data. TTG reserves the right to change this Policy at any time, and without notice, at its sole discretion. 2. Information We Collect

When you access the Site, TTG will learn certain information about you during your visit. TTG uses the information you provide to TTG primarily for processing and providing services and products, to improve overall performance, and to provide you with offers, promotions, and information, in accordance with TTG’s Terms carried out in TTG’s legitimate interests, which are further explained in the “How We Use the Information We Collect” section of this Policy. TTG may also process data upon your consent, asking for it as appropriate.

When you use the Site, as a visitor or a registered user, you may provide, and TTG may collect personal information. Your provision of your personal information, information that is uniquely identifiable to you, to TTG is completely voluntary and is not a statutory or contractual requirement. Examples of personal information include name, email address, mailing address, mobile phone number, and other information that is not otherwise publicly available. It may also include information such as geographic area or preferences, when any such information is linked to information that identifies a specific individual. Using certain features of the Site may require you to provide TTG with your personal information, for example the Site may include the following features:

 

  • Contact TTG: When you contact TTG by email or otherwise to submit information to TTG (such as when contacting with a comment or question), TTG processes the information you provide, e.g., your name, email address, company name, professional category (“I Am A…”) and request, in order to respond to your inquiry.

  • Newsletters: TTG processes the name and email address you provide to subscribe and receive occasional updates from us, such as news, resources, insights and more. TTG then adds that email address to the email list for that topic or category. You may choose to stop receiving newsletters by following the unsubscribe instructions included in these emails, or by contacting TTG as described in the “How to Contact Us” section below.

  • Participation in Activities: TTG will process your personal data when you register with TTG as part of your participation in surveys, public forums (such as message or voter boards), contests, sweepstakes or promotions. As part of your registration, TTG may request the following (as required on a case-by-case basis): personal data (such as your name, address, email address, telephone number and birth date), demographic information (such as country and gender) and profile data (such as your preferences and practices).

  • Site Registration: TTG will process your login details if you request and receive access to register for an account (such as a private “Investor Portal” account) so TTG can communicate with you, provide the services and provide a more personalized experience on the Site. You are not required to register for an account, but if you choose not to do so, you may not be able to participate in some of the services offered through the Site. In addition to this, TTG will process all information you provide when logged into your account, and also your usage data (e.g., login times, length of stay).

  • Job Application and Submissions: TTG will process your personal data such as name, address, email address, work experience, education and other related information you submit to review, verify and evaluate your job application or submission information if you have applied for a job at TTG or submitted documents for review.

  • Updates Concerning TTG: If you are a user that has submitted information to TTG, TTG will process your email address in order to keep you informed about the operation of the Site by, for applicable, sending emails and announcements that are needed for the proper functioning and administration of the Site and services.

 

TTG may automatically collect certain information from your device as you navigate through the Site. TTG may use automatic data collection technologies offered through Wix, the Site domain host, and Google Analytics to collect certain information about your equipment, browsing actions, and patterns. This will generally include information about your location, your traffic pattern through the Site (the pages or other content you view or interact with on the Site, and the dates and times of the visit, access, or use of the Site), any communications between your computer and the Site, and the web pages or sites visited just before or just after using the Site. Among other things, TTG will collect data about the type of computer you use, your internet connection, your IP address, your operating system, and your browser type. TTG also may use these technologies to collect information regarding your interaction with email messages, such as whether you open, click on, or forward a message. This information is gathered from all visitors and users.

 

TTG uses Wix Analytics Reports to measure and evaluate access to and traffic on the public and private areas of the Site, and Google Analytics to measure and evaluate access to and traffic on the public area of the Site, each to create user navigation reports for Site administrators. These automatic data collection technology services operate independently from TTG and have their own privacy policy, which TTG strongly suggests you review. The information TTG collects automatically will only be used for statistical data, and on a need-to-know basis to improve the Site and service offerings, such as to resolve technical issues, administer the Site and identify visitor preferences; but in this case, the data will be in non-identifiable form. To the extent you voluntarily provide personal information to TTG, the Site systems will associate any automatically collected information with your personal information, however TTG will not use automatically collected data on its own to personally identify visitors or users.

 

3. Information Collected from Other Sources

Other than as provided in this Policy, TTG does not share your personal information with third parties.

 

TTG may employ other companies or individuals to perform functions on TTG’s behalf, such as sending postal mail, email, and text messages, conducting sweepstakes/contests, prize fulfillment and promotional activities, analyzing data, providing marketing assistance, processing transfers or payments and providing customer service and feedback. These outside suppliers, agents and vendors have access to your personal information only as needed to perform their functions, a majority of which involve providing and/or returning collected information and other data to TTG.

 

From the Site, you may be able to click on links to third party websites to, by example, participation in surveys or public forums, purchase tickets or merchandise, and for other purposes. These third-party sites may collect information, including personal information. TTG is not responsible for, nor does TTG have access to the information they collect. The collection of this information is governed by the privacy policies on the applicable third-party sites.

 

The Site integrates with social networking services through so-called social plugins (like “buttons”) on the Site.These services are provided by social media organizations, and if you access a page of the Site that contains such a plug-in, your browser establishes a direct connection to the social media provider’s servers. You understand TTG does not control such services and TTG is not liable for the manner in which they operate. While TTG may provide you with the ability to use such services in connection with the Site, TTG does so merely as an accommodation and, like you, is relying upon those third-party services to operate properly and fairly. 4. How We Use Information We Collect

TTG uses information it collects in a variety of ways to provide the Site and services, and to operate its business, including the following:

 

  • Operations: TTG uses the information to operate, maintain, enhance and provide all features of the Site, to provide content, information and services, to respond to comments and questions and to provide support to users.

  • Improvements: TTG uses the information to understand and analyze the usage trends and preferences of TTG users, to improve the Site, and to develop new content, services, features, products, and functionality. Should this require TTG to process user data, the data will only be used in anonymized or aggregated form.

  • Communications: TTG may use a user’s email address or other information to contact that user (i) for administrative purposes such as customer service, (ii) with a business transaction purpose; or (iii) for updates on services, opportunities, materials, promotions and events, relating to services offered by TTG and by third parties TTG works with. You have the ability to opt-out of receiving any communications as described in the “Your Choices” section below.

  • Cookies and Tracking Technologies: TTG uses automatically collected information and other information collected on the Site through cookies and similar technologies to: (i) personalize services, such as remembering a user’s information so the user will not have to re-enter it during a visit or on subsequent visits; (ii) provide customized content and information; (iii) monitor and analyze the effectiveness of services and third-party activities; (iv) monitor aggregate site usage metrics such as total number of visitors and pages viewed; and (v) track your entries, submissions, status in any activities on the Site, and other websites visited just before and just after the Site, as well as your IP address. Cookies are embedded in the HTTP information that travels back and forth between your computer and the servers.   • Web Beacons: TTG, or contracted third-party partners, may employ a software technology called web beacons (also known as web bugs, clear gifs or pixels) which helps TTG understand what content is effective, for example by counting the number of users who have visited these pages, and to understand usage patterns. Web beacons are tiny graphics with a unique identifier, similar in function to cookies, and are used to let TTG know when content is viewed. In contrast to cookies, which are stored on a user’s computer hard drive, web beacons are embedded on web pages, ads, and email. TTG, or contracted third-party partners, may tie the information gathered by web beacons to the other information TTG collects about you.

 

If you are outside the European Union (“EU”)/European Economic Area (“EEA”) and opt to contact, receive resources or register with TTG as part of your participation in surveys, public forums (such as message or voter boards), contests, sweepstakes, promotions or other programs and events, or purchase any products sold by TTG on or through the Site, TTG will automatically enroll you to receive TTG’s free email newsletter(s). 5. Disclosure of Your Information

As a general rule, TTG does not rent, lease, sell or otherwise transfer personal information collected or stored whether automatically or through voluntary action. TTG may disclose personal information to TTG subsidiaries, affiliates, and service providers for the purpose of providing Site services, and to third parties with consent from the applicable user, or in the following circumstances:

 

  • Unrestricted Information: Any information you voluntarily choose to include in a public area of the Site or services, such as a forum, message board and/or other community function, will be available to any users who has access to that content.  Remember that any information you disclose in these areas becomes public information and you should exercise caution when deciding to disclose your personal information.  Your use of such public areas and community functions is at your own risk.

 

  • Service Providers: TTG may share the categories of personal information described above with service providers and third parties that TTG partners with to assist TTG in various functions, including providing technical support, providing you with the Site, services and products (including helping TTG to administer surveys, forums, contests, sweepstakes and promotions), and providing you with communications and information on TTG's behalf.  These third parties may have access to or process personal information as part of providing the services for TTG. In those instances, TTG limits the information provided to service providers and partners to that which is reasonably necessary for them to perform their functions, and TTG contracts with them require them to maintain the confidentiality of such information. These service providers and third parties can be classified in the following categories:
     

    • IT service providers, such as TTG's Site and data hosting provider;

    • Marketing partners, who TTG uses to send promotional communications to you;

    • Promotional vendors, who help TTG administer surveys, forums, contests, sweepstakes and promotions, including by maintaining separate contest and promotion microsites;

    • Product partners, who TTG works with to manage and complete business electronically between TTG and users that have registered and private "Investor Portal" accounts. This allows TTG to, for example, upload and share encrypted documents, including electronic agreements and supplementary materials with you, so you can review, annotate and apply an eSignature (a way to sign electronically on different devices), which can be saved and accessed in a going-forward basis. Signatures processed by TTG’s product partner are compliant with the US ESIGN Act and the European Union's eIDAS regulation, including EU Advanced and EU Qualified Signatures;

    • Financial partners, who are involved in the processing of banking data on the Site between TTG and users that have registered and private “Investor Portal” accounts. This allows TTG to, for example, privately and securely share instructions and enable (send and receive) monetary transfers over the internet; and

    • Other service providers, who TTG may engage to provide services to TTG or on TTG’s behalf.

 

If you apply to a job opportunity at TTG, you may be required to create an account on a third-party applicant tracking system (“ATS”).  During the recruitment process, TTG may use this ATS to compare and rank candidates, set up screening questions, create interview notes, send you meeting requests and messages, and if you are successful, send you an offer letter.  Once you accept this letter, your applicant profile will be transformed into an employee profile and you will be subject to TTG’s Employee Privacy Policy, which will be supplied to you at that time.

 

  • Non Personally Identifiable Information: TTG may make certain automatically-collected, aggregated, or otherwise non-personally-identifiable information available to third parties for various purposes, including (i) compliance with various reporting obligations; (ii) for business or promotional purposes; or (iii) to assist such parties in understanding TTG users’ interests, habits, and usage patterns for certain programs, content, services, and/or functionality available through the Site.

 

  • Law Enforcement, Legal Process and Compliance: TTG may disclose personal information or other data if required to do so by law or in the good-faith belief that such action is necessary to comply with applicable laws, in response to a facially valid court order, judicial or other government subpoena or warrant, or to otherwise cooperate with law enforcement or other governmental agencies.

    TTG also reserves the right to disclose personal information or other data that TTG believes, in good faith, is appropriate or necessary to (i) take precautions against liability, (ii) protect TTG or others from fraudulent, abusive, or unlawful uses or activity, (iii) investigate and defend TTG against any third-party claims or allegations, (iv) protect the security or integrity of the Site and any facilities or equipment used to make the Site available, or (v) protect TTG property or other legal rights, enforce contracts, or protect the rights, property, or safety of others.

 

  • Change of Ownership: Information about users, including personal data, may be disclosed and otherwise transferred to an acquirer, successor or assignee as part of any merger, acquisition, debt financing, sale of assets, or similar transaction, as well as in the event of an insolvency, bankruptcy, or receivership in which information is transferred to one or more third parties as one of TTG’s business assets and only if the recipient of the user personal information and /or data commits to a privacy policy that has terms substantially consistent with this Policy.

 

6. Your Choices

 

  • Access, Correction, Deletion: TTG respects your privacy rights and provides you with reasonable access to the personal data you may have provided through your use of the Site. If you wish to access or amend any other personal data TTG holds about you, or to request we delete or transfer any information about you we have obtained from an integrated service, you may contact TTG as set forth in the “How to Contact Us” section. At your request, TTG will have any reference to you deleted or blocked in our database.

    If you have been given access to a private “Investor Portal” account, you may update, correct, or delete your account information and preferences at any time by accessing your account settings page in the portal. Please note that while any changes you make will be reflected in active user databases instantly or within a reasonable period of time, TTG may retain all information you submit for backups, archiving, prevention of fraud and abuse, analytics, satisfaction of legal obligations, or where TTG otherwise reasonably believes TTG has a legitimate reason to do so.

    You may decline to share certain personal data with TTG, in which case TTG may not be able to provide to you some of the features and functionality of the Site.

    At any time, you may object to the processing of your personal data, on legitimate grounds, except if otherwise permitted by applicable law. If you believe your right to privacy granted by applicable data protection laws has been infringed upon, please contact TTG at info@teaguetheatrical.com. You also have a right to lodge a complaint with data protection authorities.

 

  • Opting out from Subscription Service Communications: If you receive subscription service emails from TTG, you may unsubscribe at any time by reading the unsubscribe instructions located at the bottom of these emails and selecting the unsubscribe link. If you have trouble unsubscribing on your own, you may send an email to info@teaguetheatrical.com requesting to unsubscribe from future emails. Please be aware that if you opt-out of receiving these emails it may take up to ten (10) business days for TTG to process your request. Additionally, even after you opt-out from receiving subscription service communications from TTG, you may continue to receive legitimate administrative messages from TTG.

 

  • Do Not Track Policy: Some browsers have incorporated “Do Not Track” features. Most of these features, when turned on, send a signal or preference to the website or online service that a user visits, indicating the user does not wish to be tracked. Because there is not yet a common understanding of how to interpret Do Not Track signals, TTG does not currently respond to Do Not Track signals. TTG will continue to monitor how the online industry moves to define a common understanding of how to treat Do Not Track signals, and TTG will update this section and this Policy as may become necessary.

 

7. Minors and Children’s Privacy

Protecting the privacy of young children is especially important to TTG. The Site and services are not intended to be used by minors and are not intended to be used to post content to share publicly or with friends. To the extent that a minor has posted such content on the Site or services, the minor has the right to have this content deleted or removed using the deletion or removal options detailed in this Policy. Please be aware that, although TTG offers this deletion capability, the removal of content may not ensure complete or comprehensive removal of that content or information.

 

  • COPPA: TTG strives to comply with the Children’s Online Privacy Protection Act and does not knowingly collect any personal information or data from persons under the age of 13. If you are under 13 years of age, please do not provide any personal information or data to TTG. If you believe TTG has unknowingly collected personal information or data from or about someone under the age of 13, or if you have any question regarding this topic, please contact TTG immediately as described in the “How to Contact Us” section below. If we learn we have collected or received personal information from or about a person under the age of 13 without verification of parent or legal guardian consent, we will delete that information.   • GDPR: TTG strives to comply with the European Union’s General Data Protection Regulation (Regulation (EU) 2016/679, hereinafter “GDPR”).  The Site and services are not intended for children and we do not knowingly collect data relating to any person under the age of 16 in cases where GDPR is applicable.  If you feel that TTG has unknowingly collected personal data from or about someone under the age of 16 in a country where GDPR is applicable, please contact TTG immediately as described in the “How to Contact Us” section below and this information will be removed.

 

8. Data Security

TTG follows generally accepted industry standards to protect the information you submit to TTG and the information TTG collects automatically, both during transmission and once TTG receives it. TTG maintains appropriate administrative, technical and physical safeguards to protect personal information against accidental or unlawful destruction, accidental loss, unauthorized alteration, unauthorized disclosure or access, misuse, and any other unlawful form of processing of personal information in TTG’s possession. This includes, for example, firewalls, password protection and other access and authentication controls. TTG uses Secure Sockets Layer technology to encrypt data during transmission through public internet and employs application-layer security features to further anonymize personal information.

 

However, no method of transmission over the internet, or method of electronic storage, is 100% secure. TTG cannot ensure or warrant the security of any information you transmit to TTG or store on the Site or services, and you do so at your own risk. TTG also cannot guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of TTG’s physical, technical, or managerial safeguards. If you believe your personal information has been compromised, please contact TTG as set forth in the “How to Contact Us” section.

 

If TTG learns of a security systems breach, TTG will inform you and the authorities of the occurrence of the breach in accordance with applicable law.

 

9. Data Retention

TTG only retains personal information collected from a user for as long as the user’s account is active or otherwise for a limited period of time as long as TTG needs it to fulfill the purposes for which TTG has initially collected it, unless otherwise required by law. TTG will retain and use information as necessary to comply with TTG’s legal obligations, resolve disputes, and enforce agreements as follows:

 

  • the contents of closed accounts are deleted within 3 months of the date of closure;

  • backups are kept for 3 months;

  • financial information is retained for a period of 7 years as of its provision to TTG in accordance with applicable laws; and

  • information on legal transactions between users, partners or others and TTG is retained for a period of 10 to 20 years as of its provision to TTG in accordance with applicable laws.

 

If you choose to correspond with TTG through email or equivalent messaging, TTG may retain the content of your messages together with your email address and TTG’s responses. TTG provides the same protections for these electronic communications that TTG employs in the maintenance of information received online, mail, and telephone. This also applies when you register for the Site, sign up through forms using your email address or make a purchase on the Site.

 

10. Data Transfer

All the information you provide through the Site may be processed and stored, transferred or accessed by entities around the world as described in this Policy.  TTG will take steps to ensure that personal information and data is treated securely and in accordance with this Policy. Users and visitors in the EU/EEA please see Section 14 of this Policy.

 

11. Settings

Although TTG may allow registered users to adjust your privacy settings to limit access to certain personal information, please be aware that no security measures are perfect or impenetrable. TTG is not responsible for circumvention of any privacy settings or security measures on the Site or services. Additionally, TTG cannot control the actions of other users with whom you may choose to share your information. Further, even after information posted on the Site or services is removed, caching and archiving services may have saved that information, and other users or third parties may have copied or stored the information. TTG cannot and does not guarantee that information you post on or transmit to the Site or services will not be viewed by unauthorized persons.

 

12. Changes and Updates to this Policy

TTG will make changes and updates to this Policy by posting and dating them on this page (the “Last Updated” line above). Please revisit this page periodically to stay aware of any such changes. If TTG makes material changes to how user’s personal information is treated, TTG will notify you by email to the email address TTG has on file for you and/or through a notice on the Site. You are responsible for ensuring TTG has an up-to-date active and deliverable email address for you. Your continued use of the Site and services after a revised Policy has become effective indicates that you have read, understood and agreed to the current version of the Policy.

 

13. Your California Privacy Rights

If you are a California resident, California Civil Code 1798.83 provides you with the right to receive (a) information identifying any third party to whom TTG may have disclosed, within the preceding calendar year, your personal data for that third party’s direct marketing purposes, and (b) a description of the categories of personal information disclosed.  To obtain such information, please contact TTG as described in the “How to Contact Us” section below.

 

In furtherance of Section 6 above and in accordance with the California Consumer Privacy Act of 2018 (“CCPA”), California consumers have the right to request:

 

  • the deletion of personal data that TTG has about them;

  • additional information about whether and how TTG has collected, used, disclosed, and sold personal data about them; and

  • the specific pieces of personal data TTG has about them.

 

California consumers also have the right not to receive discriminatory treatment if they exercise the rights listed above.

 

When you make a request, TTG may require that you provide information and follow procedures so that TTG can verify the request and your jurisdiction before responding to it.  The verification steps TTG takes may differ depending on the request you make. TTG will match the information that you provide in your request to information TTG already has on file to verify your identity.  If TTG is able to verify your request, it will be processed.  If TTG cannot verify your request, TTG may ask you for additional information to help TTG verify your request.

 

Consumers will be required to submit their first and last names and email address, and may also be asked to provide their telephone number and/or address so that TTG can verify the request.  Please provide as much of the requested information as possible to help TTG verify the request.  TTG will only use the information received in a request for the purposes of responding to the request.

 

California law also permits California consumers to use an authorized agent to make privacy rights requests.  TTG requires the authorized agent to provide TTG with proof of the California consumer’s written permission (for example, a power of attorney) that shows the authorized agent has the authority to submit a request for the California consumer.  An authorized agent must follow the process as described to make a request.  The authorized agent must also verify his/her/their own identity.  TTG will confirm the agent’s authority with the California consumer about whom the request was made. TTG is not currently selling your personal information or data and has never sold personal information or data, including since January 1, 2020, the date that the CCPA went into effect.

 

14. Users of the Sites and Services in the European Union/European Economic Area

This section of the Policy applies only if you use the Site or services from a country that is a Member State of the European Union (“EU”)/European Economic Area (“EEA”) and supplements the information in this Policy.

 

If you are located within the EU/EEA, you should be aware that your personal information will be transferred to the United States, the laws of which may be deemed by the EU/EEA to have inadequate data protection. If you are located in a country outside the United States and voluntarily submit personal information to TTG, you thereby consent to the general use of such information as provided in this Policy and to the transfer of that information to, and/or storage of that information in, the United States of America (“USA”). TTG transfers personal information from the EU/EEA to the USA and may transfer to other countries, some of which have not been determined by the European Commission to have an adequate level of data protection. Personal information of EU/EEA residents will be transferred in compliance with the requirements of the General Data Protection Regulation (“GDPR”).

 

  • Rights of EU/EEA Subjects
    In furtherance of Section 6 above and in accordance with GDPR, EU/EEA residents, as data subjects, may have the following rights in relation to the personal data TTG holds about you, if the accordant preconditions are fulfilled:
     

    • Right to Access: This right allows individuals to obtain confirmation as to whether or not Personal Information concerning him or her is being process and provide access to such Personal Information. It also allows individuals to request details of the processing of his or her Personal Information, including, without limitation, categories of recipients to whom the Personal Information have been or will be disclosed and purposes of processing.

    • Right to Rectify: This right allows individuals to rectify any inaccurate Personal Information about him or her.

    • Right to Restrict Processing: This right allows individuals to block or suppress processing of personal data under certain circumstances.

    • Right to be Forgotten: This right is also known as the “right to erasure”. It is an individual’s right to have personal data erased or to prevent processing in specific circumstances.

    • Right of Data Portability: This right allows individuals to move, copy or transfer personal data from one place to another in a secure manner without interrupting the integrity and usability of the information.

    • Right to Object to Processing: This right allows individuals to object to certain types of processing, including direct marketing, profiling and providing for purposes of scientific or historical research and statistics.

    • Rights in Relation to Automated Decision-Making and Profiling: You have the right not to be subject to a decision when it is based solely on automated processing, including profiling, and it produces a legal effect or similarly significantly affects you unless such profiling is necessary for entering into, or the performance of, a contract between you and TTG.

    • Right to Withdraw Consent: If TTG relies on your consent as legal basis for processing your personal data, you have the right to withdraw that consent at any time.  This includes, but is not limited to, cases where TTG uses your personal data for direct marketing purposes.
